Governing Law and Dispute Resolution
This agreement is governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of laws principles.
Any dispute arising from or relating to this agreement will first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to binding arbitration administered in Sheridan, Wyoming, under the commercial arbitration rules then in effect. The state and federal courts located in Wyoming retain exclusive jurisdiction over any claims not subject to arbitration, including injunctive relief. The parties hereby waive the right to a jury trial.
